Attorney Benjamin M. Cooke has joined the Business Organizations & Tax Department at WHP

WHP is pleased to announce the addition of Attorney Benjamin M. Cooke to its Avon, Ohio Office.

Mr. Cooke focuses his practice on corporate and business matters. He handles business organization and formation, business contract issues, mergers and acquisitions, real estate matters, banking and financing, employment issues, bankruptcy and records retention/e-discovery. He also represents a number of individuals, including professional athletes, in their business ventures from start-up to operation to disposition.

Beginning his legal career in San Antonio, Texas, Mr. Cooke advised clients on a wide range of complex commercial litigation matters. He tried several jury cases to a verdict and handled all aspects of litigation. Eventually gravitating to a corporate business practice, Mr. Cooke advised clients on general business matters and transactions, several of the transactions with a deal value exceeding $1 billion. He was named a Super Lawyer – Texas Rising Star in 2008.

Mr. Cooke returned home to Northeast Ohio and started practicing in June 2008, specializing in mergers and acquisitions. He has represented clients regarding a variety of business transactions. He has handled all types of transactions, both asset and stock purchases, tender offers and international cross border transactions, with deal values ranging from $12 million to over $10 billion. Most recently, Mr. Cooke has focused his corporate practice on sales and acquisitions of private companies with deal values between $2 million and $110 million. In addition, Mr. Cooke serves as outside general counsel to a number of private businesses in Northeast Ohio. The expertise derived from handling these complex transactions translates perfectly to his representation of other businesses today. In recent months, Mr. Cooke has closed a number of transactions for clients ranging from acquisitions of closely held business to employee buyouts of existing owners.

Mr. Cooke received his bachelor’s degree from the University of Notre Dame and his juris doctorate from the University of Dayton School of Law.

A native of Cleveland, Ohio, Mr. Cooke was born and raised in Bay Village. An active member of the community, he volunteers for the National CMV Foundation and the West Side Catholic Center. Mr. Cooke and his family reside in Avon Lake, Ohio.
